Bio
Barry Horne is a structuring, tax and M&A lawyer practicing across Canada. The fearless leader of our Cross Border Group.
Barry's strength, developed over 26 years of practice, is structuring business activities and investments for both non-resident businesses investing in Canada (e.g. joint ventures, strategic alliances, establishment, or acquisition) and Canadian businesses looking to expand outside of Canada (e.g. U.S.).
In the area of tax law, Barry concentrates his practice in corporate and international tax planning: corporate reorganizations, unlimited liability companies, inbound and outbound investments, acquisition planning, corporate structuring and restructuring for businesses, cross-border financings and structures, and hybrid instruments.
Barry’s experience in M&A is extensive. He advises on structuring acquisitions and dispositions for both resident and non-resident persons, organizing M&A teams consisting of accounting and legal practitioners and management around the world, and drafting the definitive agreements (e.g. share or asset purchase agreement).
Barry is ranked in The Canadian Legal Lexpert Directory. He is recognized by Best Lawyers in Canada as a leader in tax law (2016, 2017) and international trade and finance law (2014, 2016, 2017). In 2014, Barry was named the Halifax Tax Lawyer of the Year.
Barry is a member of the editorial board of the International Tax Journal, a CCH publication. He is Vice-Chair of the Taxation Section Committee for the Foreign Lawyers Forum at the American Bar Association and is a member of the ABA’s Business and Tax Section. Barry is a member of the working group for the ABA-SBL- M&A Committee 2009-2016 Canadian Private Target Deal Points Study. Barry has previously served as a Governor of the Canadian Tax Foundation, Chair of the Taxation Section of the Canadian Bar Association (Nova Scotia) and Chair of the American Chamber of Commerce in Canada (Atlantic Chapter).
Barry often speaks on topics related to his area of practice. He has presented at the American Bar Association, Canadian Tax Foundation, Atlantic Provinces Tax Conference, Canadian Bar Association and Insight Mergers & Acquisitions Conference. Barry was featured as the Canadian representative during the Joint Current International Developments Panel – Part II at the annual American Bar Association Tax Section meeting (2014) in Washington, DC, speaking on outbound and inbound Canadian international taxation issues.
