A client signed up for wordpress.com (and hasn’t done anything with it yet – no content, etc), but wants to be able to use custom themes etc. and needs wordpress.org. Do I have to pay a guided transfer fee of $129 if there isn’t anything on the wordpress.com site? Or can I delete the wordpress.com blog and sign up separately for the wordpress.org site (basically start from scratch for her)?

No, you can just go to Tools->Export and export the contents of the blog and import them on the new site. Then set the Wp.com one private.
If it has no content, you don’t have to do anything at all with it. Just give them the password and username and let them keep it as a spare.
